AINAE MUSIC - TERMS & CONDITIONS

By purchasing a custom song or cover song from Ainae Music, you ("Client") agree to the following terms and conditions. Please read carefully before placing your order.

1. SERVICES OFFERED

Ainae Music provides custom song creation services, including:

Cover song performances with personal dedications
Original custom songs written and recorded based on client-provided details
Video performances (select packages only)
Digital delivery of audio and/or video files

All services are provided by Ainae Nielsen (performing as Ainae Music).

2. ORDERING & PAYMENT

2.1 Order Process

Orders are placed through the online quiz/form and payment is processed via Stripe.
All payments must be received in full before work begins.
Prices are listed in USD and are subject to applicable taxes.

2.2 Payment

Payment is due at the time of order.
We accept all major credit cards and payment methods supported by Stripe.
All sales are final once creative work begins (typically within 48 hours of order confirmation).

2.3 Promotional Pricing

Black Friday and other promotional discounts are valid only during the specified dates.
Discounts cannot be combined with other offers unless explicitly stated.
Promotional slots are limited and available on a first-come, first-served basis.

3. CREATIVE PROCESS

3.1 Client Responsibilities

Client must provide complete and accurate information via the order form and follow-up creative brief.
Incomplete or inaccurate information may delay delivery or impact the quality of the final product.
Client must respond to follow-up requests within 7 days to avoid delays.

3.2 Creative Direction

Ainae Music retains full creative control over the artistic interpretation, melody, arrangement, and production style.
While client input is valued and incorporated, final creative decisions rest with Ainae Music.

3.3 Behind-the-Scenes Content

Ainae Music may document and share the songwriting, recording, and production process on social media, in promotional materials, or for educational purposes.
Client preferences for behind-the-scenes content are collected during the order process and will be honored.
Full consent: Client agrees to Ainae Music sharing the creative process, including names, story details, and song excerpts.
Anonymous consent: Ainae Music may share the creative process but will not include identifying details (names, locations, specific story elements).
Privacy request: The creative process will not be documented or shared publicly.
Regardless of the client's choice, Ainae Music retains the right to use the completed song for promotional purposes as outlined in Section 5.5, unless a separate privacy agreement is negotiated.

3.4 Revisions

The Serenade (Cover Song): No revisions included. Cover songs are straightforward performances of existing works.
Love Letter in Song: One (1) round of revisions included for lyric changes only. Melody, arrangement, and production style are final.
The Grand Gesture: One (1) round of revisions included for lyric changes only. Melody, arrangement, and production style are final.
Revision requests must be submitted within 7 days of receiving the preview.
Additional revisions beyond what is included in your package may be available for an additional fee at Ainae Music's discretion.

3.5 Factual Errors

If the final song contains factual errors (incorrect names, dates, or details explicitly provided by the client), Ainae Music will correct these at no additional charge.

4. DELIVERY

4.1 Delivery Timeline

Standard Delivery: 2-3 weeks from the date the creative brief is completed by the client.
Priority Delivery (The Grand Gesture): 1-2 weeks from the date the creative brief is completed.
Delivery timelines are estimates and not guarantees. Delays may occur due to incomplete client information, unforeseen circumstances, or high order volume.

4.2 Delivery Method

All songs are delivered digitally via email as high-quality audio files (MP3 and/or WAV).
Video performances (if included) are delivered as MP4 files via email or secure download link.
Physical delivery (CDs, USB drives, framed lyrics, etc.) is not included unless explicitly stated in the package.

4.3 Delivery Windows

Clients may select a preferred delivery window (e.g., before December 24 or mid-January for Valentine's Day).
Ainae Music will make reasonable efforts to meet the requested delivery window but cannot guarantee specific dates.
Rush delivery requests outside of purchased packages may be accommodated for an additional fee, subject to availability.

5. COPYRIGHT & INTELLECTUAL PROPERTY

5.1 Ownership

All custom songs, including original lyrics, melodies, compositions, arrangements, and recordings, are the intellectual property of Ainae Music/Ainae Nielsen.
Ainae Music retains all copyrights, publishing rights, and master recording rights unless otherwise negotiated in a separate written agreement.

5.2 Client License

Upon full payment, the client receives a personal, non-exclusive, non-transferable, royalty-free license to use the custom song for personal, non-commercial purposes only.
Permitted personal uses include: private listening, sharing with friends/family, playing at personal events (weddings, parties, etc.), and posting on personal social media accounts.

5.3 Prohibited Uses The client may NOT:

Use the song for commercial purposes (advertising, promotional campaigns, monetized content, etc.) without a separate commercial licensing agreement.
Resell, redistribute, or sublicense the song.
Claim authorship or ownership of the song.
Modify, remix, or create derivative works without written permission from Ainae Music.
Use the song in any way that is illegal, defamatory, or harmful.

5.4 Cover Songs

Cover songs are performances of existing copyrighted works. The client receives only a recording of the performance, not rights to the underlying composition.
The client is responsible for obtaining any necessary licenses if they intend to use the cover song publicly or commercially.
Ainae Music retains the right to share, perform, and distribute cover song recordings created for clients on social media, streaming platforms, live performances, and promotional materials. By ordering a cover song, the client acknowledges and consents to Ainae Music's use of the recording for these purposes.

5.5 Ainae Music's Rights

Ainae Music reserves the right to:
- Use the custom song in promotional materials, portfolio, social media, and live performances.
- Release the song commercially (streaming platforms, albums, etc.) at any time.
- Share behind-the-scenes content, testimonials, and client stories (in accordance with client preferences collected during the order process).
- Record and share the creative process, including songwriting sessions, studio footage, and production content (in accordance with client preferences).
If the client wishes to keep the song private and exclude it from Ainae Music's promotional use entirely, a separate agreement and additional fee may apply.

6. REFUND & CANCELLATION POLICY

6.1 Cancellations

Orders may be cancelled within 48 hours of purchase for a full refund, provided creative work has not yet begun.
Once creative work begins (typically within 48 hours of order confirmation), all sales are final.

6.2 Refunds

Refunds are not provided after creative work has begun.
If the client is dissatisfied with the final product, Ainae Music will work with the client within the revision terms of their package to address concerns.
Refunds will not be issued due to subjective dissatisfaction with artistic choices (melody, style, arrangement) that fall within the scope of Ainae Music's creative control.

6.3 Non-Delivery

If Ainae Music fails to deliver the custom song within a reasonable timeframe (60 days from order date) due to circumstances within Ainae Music's control, the client may request a full refund.

7. PRIVACY & DATA PROTECTION

7.1 Information Collection

Ainae Music collects personal information (name, email, phone number) and story details (names, memories, preferences) necessary to fulfill the custom song order.
Payment information is processed securely through Stripe and is not stored by Ainae Music.

7.2 Use of Information

Client information is used solely for order fulfillment, communication, and customer support.
Story details provided by the client will be used to create the custom song and may be referenced in promotional materials (in accordance with client preferences collected during the order process).

7.3 Email Communications

By placing an order, the client consents to receive transactional emails (order confirmations, creative briefs, delivery notifications).
The client may also receive occasional promotional emails from Ainae Music. The client may unsubscribe at any time via the link provided in each email.

7.4 Data Sharing

Ainae Music does not sell, rent, or share client information with third parties, except as necessary to fulfill orders (e.g., payment processing via Stripe).

7.5 Data Retention

Client information is retained for as long as necessary to fulfill the order and provide customer support.
Clients may request deletion of their personal data by emailing rezervedparking@gmail.com. Note that deletion may impact the ability to provide future support or revisions.

7.6 GDPR Compliance (EU Clients)

EU clients have the right to access, correct, or delete their personal data.
Requests may be submitted to rezervedparking@gmail.com.

8. LIABILITY & DISCLAIMERS

8.1 No Guarantees

While Ainae Music strives to create high-quality custom songs, the final product is a creative work subject to artistic interpretation.
Ainae Music does not guarantee that the client will be satisfied with subjective elements such as melody, style, or emotional tone.

8.2 Limitation of Liability

Ainae Music's total liability for any claim arising from the purchase of a custom song is limited to the amount paid by the client for that order.
Ainae Music is not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, emotional distress, or reputational harm.

8.3 Client-Provided Content

The client represents and warrants that all information, stories, and content provided to Ainae Music is accurate, truthful, and does not infringe on the rights of any third party.
The client agrees to indemnify and hold harmless Ainae Music from any claims arising from false, defamatory, or infringing content provided by the client.

8.4 Force Majeure

Ainae Music is not liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to illness, natural disasters, technical failures, or other unforeseen events.

9. DISPUTE RESOLUTION

9.1 Governing Law

These Terms & Conditions are governed by the laws of the State of Maryland, United States, without regard to conflict of law principles.

9.2 Dispute Resolution Process

In the event of a dispute, the client agrees to first attempt to resolve the matter informally by contacting Ainae Music at rezervedparking@gmail.com.
If the dispute cannot be resolved informally within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association.

9.3 Class Action Waiver

The client agrees to resolve disputes on an individual basis and waives the right to participate in class action lawsuits or class-wide arbitration.

10. GENERAL TERMS

10.1 Modifications

Ainae Music reserves the right to update or modify these Terms & Conditions at any time.
Changes will be effective immediately upon posting on the website.
Clients are encouraged to review these terms periodically.

10.2 Severability

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

10.3 Entire Agreement

These Terms & Conditions constitute the entire agreement between the client and Ainae Music regarding the purchase of custom songs and supersede any prior agreements or understandings.

11. ACKNOWLEDGMENT

By completing the order form and submitting payment, the client acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions.
